General terms and conditions of sale

1 – TERMS OF DELIVERY

The date stated in the order confirmations is not to be compulsory or binding for VICTORIA SRL and may be subject to variations due to unforeseeable production problems; VICTORIA SRL has no obligation to notice and no charge at all.

2 – SHIPMENT

VICTORIA SRL relies on the rule “EX WORKS – FRANCO FABBRICA” Incoterms® 2010. Upon Customer’s request, VICTORIA SRL is available to entrust the goods with a contracted courier, charging the cost on the invoice (“Porto Franco with invoice”). Also in this case, VICTORIA SRL relies on the rule “EX WORKS” Incoterms® 2010 rule.

3 – TERMS OF PAYMENT

The payment terms are those agreed and indicated in order confirmation. In case of bank transfer, the same will be executed without any bank charges charged by VICTORIA SRL. In case of delays in payment, VICTORIA SRL reserves the right to apply default interest rates, calculated at the official rate of reference of the European Central Bank, increased by 7 points.

4 – WARRANTY / CLAIM TERMS

VICTORIA SRL guarantees that the products are free of defects and conform to the stated technical specifications. Tolerances on the indicated dimensions may be more than or equal to 2 mm. The deadlines for filing any complaints are those provided by the Italian Civil Code.

5 – APPLICABLE LAW AND JURISDICTION

Any disputes concerning Victoria supplies shall be of the exclusive competence of the referred to the Court of Treviso (Italy) and shall be governed by Italian laws. Contracts with foreign subjects shall be governed by the United Nations Convention of Vienna of 1980 on Contracts for the International Sale of Goods.

6 – PERSONAL DATA

In all accounting documents, the data provided by the Customer will be indicated, which has the burden of reporting any errors or updates, raising VICTORIA SRL from any liability in this regard.

7 – DATA PROTECTION LAW

The personal data of the Buyer shall be processed in accordance with the Italian data protection law (Legislative Decree 196/2003). The Seller inform the Buyer that the Seller is the data controller and that the Buyer’s personal data shall be collected and processed for the only purpose of the performance of this agreement. Pursuant article 7 of the Italian Legislative Decree 196/2003, the Buyer has the right to ask to the Seller the updating, amendment, integration, writing off and transformation in anonymous form of its data.
